Liquidation is a structured process for dissolving a company, during which the company’s debts are settled and any remaining assets, such as cash and property, are distributed to shareholders. Throughout the liquidation, a liquidator assumes responsibility from the board and manages the dissolution in accordance with applicable regulations. However, shareholders retain their position as the highest decision-making body through the general meeting. Liquidation can be initiated voluntarily by the company’s owners or enforced by the Swedish Companies Registration Office (Bolagsverket) or the court.
