Fylgia has represented Gotmic in reverse takeover that brings the company into a listed environment

Fylgia has acted as legal advisor to the semiconductor company Gotmic AB in connection with Hemply Balance Holding AB (publ) entering into an agreement on 7 August 2026 to acquire all shares in Gotmic. The transaction is structured as a reverse takeover and means that Gotmic's business will be brought into an environment listed on NGM Growth Market.

The purchase price amounts to approximately SEK 100 million and will be paid through 2 272 727 273 newly issued shares in Hemply Balance at a price of SEK 0.044 per share. Following completion of the transaction, Gotmic's current shareholders will hold 93 percent of the capital and votes in the company, and have undertaken lock-up commitments in connection with entering into the share purchase agreement. Gotmic's principal owner, Gotmic Group, has been granted an exemption from the mandatory bid rule by the Swedish Securities Council (Aktiemarknadsnämnden).

Gotmic develops and sells high-performance integrated circuits for advanced communication and sensor systems within telecom, space and defense. The company's technology platform is positioned for the development towards millimetre-wave and sub-THz frequencies, i.e. markets characterised by high technical requirements and long qualification processes. In 2025, Gotmic reported net sales of SEK 27.2 million.

The transaction is conditional upon, among other things, NGM Growth Market approving the company for continued listing, a resolution at an extraordinary general meeting, and Hemply Balance divesting its loss-making subsidiary and being debt-free upon completion. The entire transaction is expected to be completed during the fourth quarter of 2026.
